DGIM STUDIO – LICENSE AGREEMENT


Contents


This License Agreement (the “Agreement”) is entered into between:

Fundacja Rozwoju Przedsiębiorczości “Twój StartUp”, with its registered office at ul. Żurawia 6/12 lok 766, 00-503 Warsaw, Poland, registered in the National Court Register under KRS number 0000442857, NIP: 521-364-12-11, REGON: 146433467, BDO: 000460502, represented by Michał Jeziorski – President of the Management Board,

operating through its organized part of the enterprise DGIM Studio, represented by Ivan Mahileuchyk (hereinafter referred to as the “Licensor”),

and

any individual or entity purchasing, downloading, installing, or using the digital products provided by DGIM Studio (hereinafter the “Licensee”).

1. Acknowledgment and Acceptance

1.1 By making a purchase, downloading, or using any Product from DGIM Studio, the Licensee confirms that they have read, understood, and agreed to the terms of this Agreement.

1.2 If the Licensee does not agree with any provision of this Agreement, they must refrain from purchasing or using the Products.

2. Intellectual Property and Rights

2.1 DGIM Studio (represented by Ivan Mahileuchyk) is the sole and exclusive rights holder of all graphic resources, including but not limited to illustrations, design templates, poster templates, seamless patterns, bundles, mockups, and fonts.

2.2 All Products are original works created by DGIM Studio and do not infringe upon the copyrights of third parties.

2.3 Some design templates may reference third-party fonts. Such fonts are not included in the Products; only references or links are provided to their original authors.

2.4 Except in the case of an Exclusive License, all Intellectual Property Rights remain vested in the Licensor.

3. Grant of License

3.1 Upon receipt of full payment, the Licensor grants the Licensee a limited, non-exclusive, non-transferable, and non-sublicensable right to use the Products strictly in accordance with the purchased License type.

3.2 Rights are granted only after successful payment has been received.

3.3 The License applies worldwide and without time limitation, unless otherwise specified.

3.4 Any breach of this Agreement may result in immediate termination of the License without refund.

4. Types of Licenses

Each License type below describes permitted uses and prohibited uses.

4.1 Personal License

Permitted uses:

  • Personal, educational, or hobby projects without commercial intent.
  • Printing designs for personal use, or as gifts for family and friends.
  • Non-commercial use on social media, provided that visible credit (“@dgimstudio”) is included.
  • Modifications: colors, fonts, text, composition, or element changes. Use of the Product “as is” without modifications is also permitted.

Prohibited uses:

  • Any monetized or commercial use.
  • Sale or distribution of physical or digital products.
  • Use in advertisements, product packaging, or branding.
  • Use in logos, trademarks, or album covers.
  • Print-on-demand or resale platforms.
  • Reselling, sharing, sublicensing, or distributing files.
  • Use in NFTs, blockchain, AI model training or generation.
  • Any offensive, harmful, defamatory, discriminatory, or unlawful use.

4.2 Commercial License

Permitted uses:

  • Commercial projects for one client or one brand.
  • Production and sale of up to 5,000 units in total (including both physical products, such as clothing, posters, packaging, and digital products, such as templates, e-books, or other downloadable/online goods).
  • Digital products are allowed if end users cannot extract or isolate the original files or substantial parts thereof.
  • Advertising, marketing campaigns, and social media promotions with no limit.
  • Print-on-demand platforms (uploading mockups and previews is allowed).
  • Logo design (cannot be registered as a trademark).
  • Modifications: colors, fonts, text, composition, or element changes. Use of the Product “as is” without modifications is also permitted.

Prohibited uses:

  • Exceeding the total cap of 5,000 sold physical and digital units.
  • Using Products across multiple clients or brands under a single license.
  • Resale, redistribution, or sharing of source files.
  • Use in NFTs, blockchain, AI training/generation.
  • Use in offensive, harmful, defamatory, or unlawful contexts.

4.3 Extended Commercial License

Permitted uses:

  • Same as Commercial License, but with no cap on the number of physical or digital products sold or distributed.
  • Unlimited advertising, marketing, and social media campaigns.
  • Unlimited use in digital products, provided end users cannot extract or isolate original files.
  • POD, merchandising, packaging, branding, and logo design (without trademark registration).
  • Modifications: colors, fonts, text, composition, or element changes. Use of the Product “as is” without modifications is also permitted.

Prohibited uses:

  • Reselling or sharing source files.
  • Use for multiple clients or brands without purchasing separate licenses.
  • Use in NFTs, blockchain, AI training/generation.
  • Offensive, harmful, defamatory, or unlawful use.

4.4 Exclusive License

Permitted uses:

  • Full ownership and Intellectual Property Rights transfer to the Licensee.
  • Unlimited commercial and personal use in any medium.
  • Trademark registration permitted.
  • Product is removed from sale and cannot be purchased by others.
  • No restrictions on sales, distribution, or impressions.
  • Modifications: colors, fonts, text, composition, or element changes. Use of the Product “as is” without modifications is also permitted.

Prohibited uses:

5. Modifications

5.1 For all License types, the Licensee may modify the Products (e.g., change colors, fonts, compositions) or use them without modification.

5.2 Modifications do not grant additional rights beyond the purchased License type.

6. Fonts (Special Terms)

Fonts are subject to the following additional License types:

6.1 Desktop License

  • Installation for 1 user on up to 3 devices.
  • Permitted uses: design of print and digital graphics, creation of logos (without trademark registration), embedding in PDF and eBooks.
  • Prohibited: sharing with third parties, reselling, sublicensing, embedding in apps or websites.

6.2 Webfont License

  • Permitted uses: embedding on one website/domain via @font-face.
  • Prohibited: printing on physical products, use in digital goods such as eBooks or downloadable templates, redistribution, multiple domains without additional licenses.

6.3 App/Embedded License

  • Permitted uses: embedding in one application, software, game, or hardware product.
  • Prohibited: printing on physical products, use in digital goods such as eBooks or downloadable templates, redistribution, sublicensing.
  • Each app/product requires a separate license.

7. Restrictions (General)

Regardless of License type, the Licensee may not:

  • Resell, sublicense, or distribute original files.
  • Share download links or allow third parties to access Products.
  • Use Products for NFTs, blockchain, AI training, or AI generation.
  • Claim authorship or falsely present Products as original works.
  • Use Products in offensive, harmful, or unlawful ways.

8. Termination

8.1 Any breach of this Agreement results in immediate termination of the License.

8.2 Upon termination, the Licensee must stop all use of the Products and destroy all copies in possession.

8.3 Termination does not entitle the Licensee to a refund.

9. Delivery

9.1 Products are delivered digitally via instant download after purchase.

9.2 The Licensee is responsible for safeguarding access credentials and files.

10. Refund Policy

Due to the digital nature of Products, all sales are final. No refunds or exchanges are provided once files are downloaded.

11. Warranties and Liability

11.1 Products are provided “as is” without warranties of any kind.

11.2 The Licensor shall not be liable for indirect, incidental, or consequential damages arising from the use of the Products.

12. Indemnification

The Licensee agrees to indemnify and hold harmless the Licensor from any claims, damages, or legal proceedings resulting from misuse or unlawful use of the Products.

13. Governing Law

This Agreement is governed by the laws of Poland and applicable international copyright law.

Disputes shall be resolved by the competent courts in Warsaw, Poland.

14. Amendments

DGIM Studio reserves the right to amend this Agreement at any time. Updates apply to future purchases only.

15. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements, communications, or understandings.
